SMYRNA, GA (March 12, 2015) – Compass Chemical International LLC (Compass) announced today that One Rock Capital Partners, LLC (One Rock) has made an investment in the business. Financial terms of the transaction were not disclosed. Grace Matthews, Inc., a Milwaukee-based investment bank, advised the seller, BMMC Holdings LLC, on the transaction.
With operations in Smyrna, GA, and Huntsville, TX, Compass is a leading independent producer of organophosphonates and other chemicals. The company serves a diverse set of customers in various industries including industrial water, recreational water, oil & gas, and others.
One Rock Managing Partner Tony W. Lee said: “Over the years, Compass has grown from a distribution business to a world-class manufacturer of phosphonate-based scale and corrosion inhibitors for various applications. We are looking forward to building on the substantial platform that Compass Founder Bill Bellah and President Danny McCaul have established.”
One Rock Managing Partner R. Scott Spielvogel added: “Today, Compass has an excellent industry reputation for the quality and consistency of its products and services, and is well-known for its ability to work closely with customers to address their specific needs. We are excited about our investment in this growing enterprise.”
Mr. Bellah, the majority owner of BMMC Holdings, founded Compass in 1999 as an importer of phosphorous acid and related chemistries from Asia. In 2006, Mr. Bellah partnered with Danny McCaul, an experienced chemical industry executive and current president of Compass. Mr. Bellah said: “We believe One Rock recognized that Compass’ market position, strong management, and industry reputation represents a very strong base for future growth.” Danny McCaul added, “Grace Matthews worked to find the right investor for Compass that would help drive future growth. After a thorough and exhaustive search, we selected One Rock based on their chemical industry knowledge and cultural fit. We could not be more excited by this outcome and look forward to the opportunities our new partner will be able to provide.”
Kevin Yttre, Managing Director at Grace Matthews, said: “Compass is well-known for its expertise in organophosphonate chemistries. In partnership with One Rock, we believe Compass will be able to expand its customer base and service offerings.”
